Transformation

We continue to take actions to realize our vision of an integrated retailer focused on quality member experiences. Changes in consumer behavior are driving our vision and actions, and we continue to transform our business model so that our physical store footprint and our digital capabilities match the needs and preferences of our members.

We remain highly focused on our two most important objectives – transforming Sears Holdings into an integrated retailer that provides superior value to our members and returning our company to profitability. We have a broad range of assets at Sears Holdings, with tens of millions of active members in our Shop Your Way program and its rapidly expanding partnership network; powerful, trusted brands such as Kenmore, Craftsman and DieHard; our leading Sears Home Services and Sears Auto Centers businesses; a substantial real estate portfolio; and more. We are making progress on our transformation and are committed to take further action to unlock value from our assets and realign our business model to build the integrated retailer of the future focused on delivering outstanding member experiences.

History

Sears Holdings Corporation (NASDAQ: SHLD) is a leading integrated retailer focused on seamlessly connecting the digital and physical shopping experiences to serve our members – wherever, whenever and however they want to shop. Sears Holdings is home to Shop Your Way®, a social shopping platform offering members rewards for shopping at Sears and Kmart as well as with other retail partners across categories important to them. The company operates through its subsidiaries, including Sears, Roebuck and Co. and Kmart Corporation, with full-line and specialty retail stores across the United States.

Sears, Roebuck & Co.

Sears, Roebuck & Co. began as a watch store in 1893. In 1925, Sears opened its first retail store and catalog center on Chicago’s west side. The growth of the catalog format is an early indicator of the vision of the company, and the success it would achieve through a dedication to meeting customers’ needs with quality products and exceptional service. From our expansion from mail-order to retail stores, to the launch of Allstate Insurance and the development of the visionary ShopYourWay social shopping platform, the Sears name has been synonymous with forward-thinking and retail advancement for more than 100 years.

Kmart

In 1899, the company that would become Kmart was opened by Sebastian Spering Kresge as a modest nickel-and-dime store in downtown Detroit. The low prices appealed to shoppers, and the chain quickly grew into one of the nation’s preeminent retailers. Today, Kmart has stores and an Internet presence that reaches millions of customers. The Kmart name has become a symbol of Americana, standing for quality products at low prices.

Holdings Corporation

The merger of Kmart and Sears as Sears Holdings Corporation (SHC) closed on March 24, 2005, and the company continues to market products under brands held by both companies. SHC’s corporate headquarters are in Hoffman Estates, Ill.

DieHard

Sears designed the DieHard automotive battery, introduced in 1967, to produce 35 percent more usable starting power than other similar batteries. Featuring a revolutionary tough, thin-walled case of translucent polypropylene plastic, which was 50 percent thinner than conventional black rubber-type battery enclosures, the design's extra room meant bigger plates, more acid and extra starting power. During testing, not a single failure was reported in over 26,000 starts in temperatures ranging from sub-zero to more than 100 degrees, hence the name "DieHard."
