The Real Estate Attorney is responsible for the management and support of Transformco’s real estate related legal matters. This position will, handle day-to-day activities, reviewing and analyzing leases and other real estate documents, and handle transactions as well as confirming compliance with all applicable laws, rules and regulations, both federal and state, as well as regulations and contractual rights that impact the Company’s ability to own or lease real estate. This position reports to the Deputy General Counsel - Real Estate, and works directly with the real estate transactions team.

Job Requirements

Job Duties/Responsibilities:
  • Draft and negotiate sophisticated lease agreements, lease amendments, subleases, license agreements, letters of intent, REA documents, consent letters and other relevant real estate legal documents.
  • Review, analyze and effectively interpret and summarize lease provisions, REA documents and other real estate agreements, to advise business team on risks.
  • Handle and close transactions for dispositions and lease assignments.
  • Respond to pre-litigation disputes and defaults in an effective manner to avoid claims and litigation.
  • Work closely with business clients throughout stages of transaction.
  • Identify and assess risk to the company, recommend course of action and develop solutions.
  • Interface with business units and cross-functional teams within Transformco.
  • Provide Counsel and negotiate settlements related to various regulatory issues.

Job Requirements:
  • Proven ability to manage multiple projects and be a self-starter.
  • A Juris Doctorate Degree with at least 5 years of relevant experience
  • Experience with reviewing and analyzing leases, REAs, and other property documents.
  • Ability to operate with limited supervision, counsel business clients, handle challenging negotiations, follow process, be organized, accountable, and show good judgment.
  • Experienced in commercial real estate law (retail real estate experience is a plus).
  • Ability to be effective at troubleshooting and improvising in unexpected situations and must assume full responsibility and take action within appropriate area of responsibility.
  • Effective verbal and written communication skills are critical.
  • Experience with transactions, contract negotiations, and drafting.
  • Strong analytical skills
